These Terms of Service ("Terms") govern your use of the Train Matricx website (trainmatricx.com) and the B2B sports data annotation services ("Services") provided by Train Matricx ("we," "our," or "us"). By accessing our website or engaging our Services, you agree to be bound by these Terms.
1. Service Description
Train Matricx provides managed human-in-the-loop data annotation services tailored specifically for sports AI and computer vision models. Our Services include, but are not limited to, skeletal tracking, event logging, bounding box annotation, and historical data compilation. All Services are customized based on scoping agreements negotiated between Train Matricx and the Client.
2. Client Obligations and Data Licensing
Right to Provide Data: The Client represents and warrants that they possess the necessary legal rights, licenses, and permissions to provide the video footage, raw data, and schemas ("Client Materials") to Train Matricx for annotation.
License to Train Matricx: The Client grants Train Matricx a limited, non-exclusive, revocable, and non-transferable license to access, view, and process the Client Materials solely for the purpose of executing the agreed-upon annotation Services.
3. Intellectual Property Rights
Client Ownership: The Client retains 100% of all right, title, and interest (including all Intellectual Property Rights) in and to the original Client Materials. Upon full payment for the Services rendered, the Client shall also own 100% of the newly created annotations, structured datasets, and deliverables ("Deliverables").
No Internal Training: Train Matricx explicitly waives any right to use Client Materials or Deliverables to train, calibrate, or improve our own internal machine learning models, algorithms, or product offerings unless explicitly granted written permission by the Client.
4. Confidentiality and NDAs
We recognize that sports footage, proprietary ML schemas, and R&D goals are highly sensitive trade secrets. Train Matricx agrees to treat all Client Materials and communications as strictly confidential. Prior to the commencement of any Pilot or Production engagement, a formal Non-Disclosure Agreement (NDA) and Master Services Agreement (MSA) will be executed to supersede these general terms regarding confidentiality.
5. Pricing, Payment, and Delivery
Pricing is not subscription-based and is determined on a project-by-project basis depending on volume, complexity, and SLA requirements.
- Pilot Projects: All engagements begin with a paid pilot phase to align on schema and quality before scaling.
- Invoicing: Payment terms will be specified in the individual Statement of Work (SOW). Standard terms require payment within 30 days of invoice receipt.
- Delivery: Train Matricx will deliver the annotated data in the formats and via the pipelines specified in the SOW.
6. Limitation of Liability
To the maximum extent permitted by law, in no event shall Train Matricx be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of our Services. Our total liability for any claim arising out of these Terms shall not exceed the amount paid by you to Train Matricx for the specific Services giving rise to the claim during the three (3) months prior to the incident.
7. Modifications to the Terms
We reserve the right to modify these Terms at any time. We will provide notice of any material changes by updating the "Last Updated" date at the top of this page. Continued use of the Website or Services following such updates constitutes acceptance of the revised Terms.
8. Governing Law
These Terms shall be governed by and construed in accordance with the applicable laws of the jurisdiction specified in the Client's Master Services Agreement. If no MSA exists, disputes shall be resolved in a jurisdiction of Train Matricx's choosing.
